TERMS OF SERVICE

Charges & Payments

If you are billed for the use of these services by a Third Party authorized by XENSMS, the terms and conditions agreed between you and that Third Party will apply. These Terms and Conditions form a legally binding agreement between you (the customer) and XENSMS. They include provisions that limit and exclude our liability and require you to indemnify us against any losses or claims resulting from your actions. By selecting the “I accept these terms and conditions” checkbox and submitting your request or registering for the service, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions.

  • You agree to pay all applicable charges (“Customer Charges”) related to your access and use of the Service, using the prepayment method as outlined in these Terms.

  • Customers must purchase credits in advance. Each message sent will deduct credits from your balance. The number of credits used per message depends on the message type and length.

  • Payments made through digital methods (such as mobile banking, debit/credit cards, or digital wallets) may include an additional processing fee charged by the respective payment gateway.

  • Our invoices will only reflect the actual price of the product or service. Payment processing fees charged by gateways will not appear on our invoices.

  • You may receive an invoice, SMS, or email directly from the payment gateway showing the processing fee.

  • The processing fee will be automatically deducted from your selected payment method at the time of digital or online payment.

  • No processing fee applies for payments made through Direct Bank Deposit, Bank Transfer, or Cash Deposit at our office.

  • We do not allow credit transfers between customer accounts.

  • If any product or service is subject to government taxes, the applicable tax will be added to the total amount.

  • All charges will be billed in Bangladeshi Taka (BDT), as specified in the Service’s specific terms and conditions.

Account Activation

  • The individual who signs up for the Service will be considered the Account Owner and the contracting party under these Terms of Service. The Account Owner will have full authorization to access and use the account associated with the Service.

  • If you are registering on behalf of your employer or organization, your employer or organization will be deemed the Account Owner. By completing the registration, you confirm that you are authorized to bind your employer or organization to these Terms of Service.

  • Upon successful registration, XENSMS will create an account using the information you provide. The approval of your account is subject to verification, and XENSMS reserves the right to accept or reject any application based on submitted documents.

  • Customers may be required to sign a physical or digital “Terms and Conditions” form and submit it along with the necessary identification documents.

  • The identification document or photo ID provided must have at least six (6) months of validity remaining from the date of submission (if an expiration date applies).

Definition

  • Application to Person (A2P) SMS: is a system-generated text message sent from applications to users, not from mobile devices or SIM cards. It’s mainly used for OTPs, PINs, alerts, and marketing messages. A2P SMS is delivered through alphanumeric sender IDs, numeric sender IDs, or shortcodes for fast and reliable communication.

  • An SMS aggregator is a provider that supplies SMS services to businesses on behalf of telecom operators. It acts as a bridge between the operators and organizations, ensuring smooth message delivery.

  • A promotional SMS is sent by a brand or organization to share updates about products, services, offers, or discounts. It helps promote the brand and engage customers effectively.

  • A transactional SMS is an automated message sent to customers for real-time updates like payments, transfers, or OTPs. It ensures instant and secure communication during customer transactions.

  • A notification SMS automatically informs customers about account activities, purchase confirmations, or transaction updates. It keeps customers promptly updated on important events.

  • A one-way SMS is an automated message sent to customers for promotional, transactional, or notification purposes. It delivers information without expecting a response.

  • A two-way SMS allows customers to respond directly to messages they receive. It enables interactive communication between the sender and the recipient.

  • A toll-free SMS is a message sent to customers at no cost to them, with the charges covered by the sending organization. It allows customers to receive important updates without any fees.

  • Sender-ID / Masking allows businesses to display a custom name or brand (up to 11 characters) when sending SMS. Masked messages are one-way and cannot receive replies.

  • Group-based SMS targets messages to specific groups based on criteria like profession, religion, education, age, or other categories. It allows businesses or organizations to send relevant messages to a defined audience.

  • Other SMS refers to all machine-generated messages that are not person-to-person (P2P) SMS. These messages are classified as application-to-person (A2P) SMS.

Account Cancellation Policy

To comply with Bangladesh Telecommunication Regulatory Commission (BTRC) regulations and uphold ethical messaging standards, XEN SMS reserves the right to suspend or terminate any account in the following situations:

Reasons for Account Termination

An account may be temporarily suspended or permanently terminated without prior notice if the user:

  • Violation of Regulations: Sends SMS messages that breach BTRC rules, A2P protocols, or MiM SMS policies.
  • False or Fraudulent Information: Provides inaccurate, misleading, or fraudulent details during registration or while using the SMS service.

  • Missing Required Documentation: Fails to submit valid documents needed to verify identity or activate the account.

Final Notes

XEN SMS is dedicated to ensuring the lawful and responsible use of its platform. We strictly enforce rules to protect our users, partners, and the integrity of our service. All users must follow BTRC regulations and XEN SMS content guidelines to prevent account suspension or termination.

Unforeseeable Events (Force Majeure)

Neither party will be held responsible for any delay or failure to fulfill its obligations under this Agreement caused by events beyond its reasonable control. This includes, but is not limited to, failures or unavailability of telecommunications or computer services, power outages, actions or omissions by third parties (including network operators), government or regulatory actions, or network congestion.

Applicable Law and Dispute Resolution

These Terms are governed by the laws of Bangladesh and BTRC regulations. Any disputes arising from these Terms shall be subject to the non-exclusive jurisdiction of the High Courts of Bangladesh.
